Wholesale Program

This agreement is between Notch, LLC ("Notch") and the business or organization named in its dealer application ("Dealer").

Section 1
Ordering
- The first order has a 24-piece minimum; styles and colors can be mixed. Reorders have no minimum.
- Wholesale orders are not eligible for additional discounts, sales, promotions, or coupon codes.
- Oakley collaboration hats are not available for wholesale orders under Notch's agreement with Oakley.
Section 2
Payment
- All orders, domestic and international, are prepaid. Dealer pays by major credit card at checkout; ACH, wire, and company check are also accepted.
- Orders paid by ACH, wire, or company check ship once payment is received.
Section 3
Shipping
- Dealer may ship on its own shipping account by telling Notch before its first order.
Section 4
Damaged or incorrect items
- Dealer must report damaged or incorrect items within 7 days of delivery by emailing photos and the order number to retailerinfo@notchgear.com. Notch will replace or credit those items.
- All other wholesale sales are final. Notch's retail return policy does not apply to wholesale orders.
Section 5
Pricing
- Notch's policy is that Notch products are sold and advertised at or above the MSRP on Notch's current price list. Minimum advertised price (MAP) is the same as MSRP.
- Selling or advertising below MSRP requires Notch's written approval. Notch may suspend or end the account of a Dealer that does not follow this policy.
Section 6
Where Dealer may sell
- Dealer may sell in its store, at its events, and to its own customers or members.
- Dealer may sell on the website listed in its dealer application with Notch's written approval.
- Sales on Amazon, eBay, Walmart Marketplace, Etsy, TikTok Shop, Facebook Marketplace, and other third-party websites are prohibited.
- Dealer may not resell Notch products to another dealer or reseller, or act as a distributor for Notch, without Notch's written consent.
Section 7
Images, logos, and trademarks
- Dealer must use only product and lifestyle images and logos provided by Notch, unless Notch approves other images in writing.
- Dealer may not alter Notch images or logos in quality, resolution, or content.
- Dealer may use the Notch name and logos only to promote and sell genuine Notch products, and may not use them in a business name, domain name, or paid search ad without Notch's written approval.
Section 8
Changes and ending the account
- Notch may update prices, products, and these terms with notice to Dealer. Current pricing is always on the Wholesale Resources page.
- Either party may end this agreement at any time with written notice. Notch may close accounts that have not placed orders for 24 months or longer.
- When the agreement ends, Dealer stops using Notch images and logos, except to sell remaining inventory, which must still follow sections 5 and 6.
Section 9
General
- Dealer is an independent business. This agreement does not create a partnership, franchise, or exclusive territory.
- This agreement is governed by the laws of the State of Arizona.
- This agreement replaces all earlier Notch dealer agreements.
Agreeing online: Dealer agrees to this agreement by checking the agreement boxes and typing its name when submitting the online dealer application at notchgear.com. This agreement takes effect when Notch approves Dealer's account.
